Acceptance of Terms and Conditions
Your use of the Services constitutes your acceptance of these Terms of Use. IF YOU DO NOT ACCEPT THESE TERMS OF USE, THEN DO NOT USE THIS WEBSITE AND Reign Media SERVICES.
Reign Media reserves the right, in its sole discretion, to modify or change the Terms of Use at any time without prior notice to you. You should visit the Reign Media Website to review the current Terms of Use on a regular basis. The date of the last update will be posted at the top of this Terms of Use for your convenience. Your continued use of the Service following the posting of any changes to the Terms of Use constitutes your acceptance of those changes.
Different Terms of Use may apply to other services owned or operated by Reign Media.
Acceptable Use
Reign Media’s Services may NOT be used for the sending of unsolicited messages or “spam.” See our Anti-SPAM Policy.
You agree you will not access or otherwise use ANY third party mailing lists for email addresses, mobile phone numbers or otherwise prepare or distribute unsolicited messages in connection with our Service.
You agree to only use lists for which all listed parties have consented to receive correspondence from you (“permission based lists”) in connection with your use of the Service.
Every message sent by you in connection with Reign Media’s Service must contain the “unsubscribe” link and/or STOP function that allows participants to remove themselves from your distribution list.
You agree that you are responsible for the content of your messages.
You may NOT upload an existing list of mobile numbers manually into the Reign Media portal.
You must use Reign Media Services in accordance with these Terms of Use, for lawful purposes, and for the purposes for which they are designed, in accordance with all applicable laws, rules and regulations, including all applicable local, state, federal, and international Internet, data, telecommunications, telemarketing, “spam,” and import/export laws and regulations, including the U.S. Export Administration Regulations.
You may use the Reign Media Services only as intended by Reign Media and Reign Media. Reign Media reserves the right to suspend, prohibit, deny access, edit or take other appropriate action with respect to your use of the Services which it believes may be in violation of the Terms of Use to anyone at anytime. All persons are hereby notified that use of Reign Media Services constitutes consent to such actions, monitoring and auditing.
Description of Service
Reign Media’s mobile messaging service allows you to send and receive mobile text messages to/from your customers (“End Users”) who opt-in to your mobile messaging campaign from Reign Media’s managed opt-in software or from your own established list of contacts.
Reign Media operates Sender IDs and will use all reasonable efforts to accommodate your preferred Sender ID. Reign Media reserves the right to change your Sender ID at any time with thirty (30) days written notice. Reign Media’s managed Sender IDs are U.S. and Canada based area code long numbers.
Reign Media supports the following major carriers: ALLTEL Communications, AT&T Mobility, Boost Mobile, Cellcom, Cincinnati Bell, Cricket Communications, MetroPCS, Nextel Communications, Sprint PCS, T-Mobile, US Cellular Corp, Verizon Wireless, and Virgin Mobile USA. A complete list of supported carriers is maintained on this Website or may be obtained by contacting Reign Media Customer Support.
Opt-In
In order to receive any messages from an Reign Media managed Sender ID, an End User must initiate an opt-in or existing on your established contact list. Opt-ins include texting a keyword from a mobile device to an Reign Media managed Sender ID, signing up on Reign Media’s website or an affiliated website, exists on your established subscriber list, or giving permission to Reign Media, affiliate or client.
Opt-out/Unsubscribe
Any End User can opt-out or unsubscribe from this service at any time. To opt-out, an End User may text STOP to the Reign Media managed Sender IDs from their mobile device. In addition to STOP, UNSUBSCRIBE, EXIT, QUIT, or CANCEL may be used.
To opt-out of all Reign Media supported campaigns, an End User may text STOP ALL, UNSUBSCRIBE ALL, EXIT ALL or CANCEL ALL to be removed from all lists.
Reign Media will provide all Services in accordance with industry standards, including, but not limited to, the Mobile Marketing Association.
Customer Support & Technical Assistance
Reign Media Customer Support is available online (www.Reign-Media.com), 24 hours a day, 7 days a week.
Customer Support is also available by calling 214.919.0197 during normal business days from 8:00 AM CST to 5:00 PM CST.
Any End User may also text HELP to any of the Reign Media managed Sender IDs for additional help and support information.
Account Registration and Management
You must register for an account within the Reign Media messaging portal in order to manage or send messages. Registering for an account can only be done on www.Reign-Media.com or by contacting Reign Media Customer Support directly. Upon confirmed registration, you will be able to use the Services available on the Reign Media portal.
Reign Media provides you with a login and password. Any additional security measures for your account are your responsibility. We recommend you keep your password and login information confidential and do not disclose this information to third parties. You must contact Reign Media immediately if there is any unauthorized use of your account or any other breach of security.
This Service will be subject to monthly subscription fees once you have completed your free trial period or have exceeded the free trial offering.
You are responsible for all payments and any activities that occur under your account.
You are liable for any damage, loss or costs that we or any third party sustain as a result of any of your actions, or any actions of a third party using your password, account name or account information
Billing and Payment
All subscription fees or other fees must be prepaid with a valid form of payment as defined on the portal.
The monthly subscription fee is a recurring charge which is billed to the payment method on file once a month after the start of your first paid subscription fee.
The monthly subscription fee includes the lease of one sender ID and access to the Reign Media portal for account management, opt-in list storage, and standard technical support.
The initial keyword for an account must be established upon account creation.
Additional keywords may be leased for a one-time lease fee.
Messages are purchased in blocks as defined by Reign Media and may not be subdivided into smaller blocks. Message blocks may be purchased at any time and must be prepaid. Unused messages do not expire as long as the monthly subscription fee is paid on or before its due date.
You agree that Reign Media may initiate a charge to your account without prior notice to you for any message activity that exceeds the amount that has been prepaid. Such charge will be for the smallest message block available to cover the negative message balance.
All payments must be made in US dollars.
Sending Messages and Message Content
We encourage the use and publicity of anti-SPAM policies.
You must not transmit any content that violates the Terms of Use in this agreement.
You may not deceive, mislead, defraud or otherwise misrepresent to any person regarding any fact or circumstance.
You may not impersonate, attempt to impersonate or misrepresent your identity to any person for whatever purpose or create a false identity.
You may not forge or manipulate origination details and data on any electronic message with a view to disguising or deleting the origin of anything transmitted using our Service.
Content and Anti-SPAM Policy: You may not directly or indirectly use the Services to transmit or disseminate messaging that contains the following (without limitation):
Junk mail, spam, or unsolicited material to any persons or entities that have not agreed to receive such material or to whom you do not otherwise have a legal right to send such material,
Material that infringes or violates any third party’s intellectual property rights, rights of publicity, privacy, or confidentiality, or the rights or legal obligations of any wireless service provider or any of its customers or subscribers,
Content, including images, of authors, artists, photographers or others without the express written consent of the content owner,
Material that would expose Reign Media, Reign Media, any third party service provider involved in providing the Services, or any other third party to liability,
Material or data that is illegal, or, as determined by Reign Media (in Reign Media’s sole discretion) that is harassing, coercive, defamatory, libelous, abusive, threatening, obscene, or otherwise objectionable, materials that are harmful to minors or excessive in quantity, or materials the transmission of which could diminish or harm the reputation of Reign Media, Reign Media, or any third-party service provider involved in the provision of the Service,
Material or data that is alcoholic beverage-related (e.g., beer, wine, or liquor),
Material or data that is tobacco-related (e.g., cigarettes, cigars, pipes, chewing tobacco),
Pornography or illicit pornographic sexual products (i.e. magazines, websites, videos, software),
Information about escort services,
Information about illegal goods,
Information about illegal drugs and/or paraphernalia,
Pirated content or computer programs,
Guns or weapons-related (e.g., firearms, bullets) material; instructions on how to assemble or otherwise make bombs, grenades or other weapons,
Crime-related (e.g., organized crime, notorious characters) material,
Violence-related (e.g., violent games) material,
Death-related (e.g., funeral homes, mortuaries) material,
Gambling-related (e.g., casinos, lotteries) material,
Specifically mentions any wireless carrier or copies or parodies the products or services of any wireless carrier,
Material that exploits children,
Material that is not appropriate for children under the age of 18,
Provides, sells or offers products, services or content frequently associated with unsolicited commercial email (a.k.a. SPAM) such as:
Online and direct pharmaceutical sales
Health and sexual well-being products
Work-at-home businesses
Credit or finance management
DJ, nightclub, event promotions
Betting and gambling services
Material that is grossly offensive including:
Blatant expressions of bigotry, prejudice, racism, hatred or excessive profanity
Obscene, lewd, lascivious, filthy, excessively violent, harassing
Otherwise objectionable
Personal information,
Private information about minors without parental consent,
Material that introduces viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data, or personal information,
Any signal or impulse that could cause electrical, magnetic, optical, or other technical harm to the equipment or facilities of Reign Media or any third party.
Message Delivery
Messages are deemed delivered when Reign Media has delivered or sent the messages to the immediate destination that our software is programmed for, including SMTP servers, mobile telephone networks, or any other intermediary server or API that is deemed to be the point of dispatch of the message.
Reign Media focuses on providing an extensive network of carrier delivery; however, third party networks may choose from time to time to not participate in our services. This may result in messages not being delivered.
Reign Media is not responsible for the deletion of or failure to store information.
All messages will attempt to be delivered; however, due to queuing or network traffic, some messages may be delivered late.
Term and Termination of Services
You may terminate your use of these Services at any time by contacting Reign Media Customer Support. Notice of termination must be received by us at least 5 days prior to your next scheduled billing date.
Termination shall not relieve your obligation to pay all fees accrued prior to termination.
No refunds will be given for subscription fees or unused message blocks for any reason upon termination of your account.
Reign Media will deliver an electronic output of your complete contact database to you within thirty (30) days of receiving a written request from you after the termination of your account.
Free trial accounts terminate at the end of the free trial period.
You lose the right to your keywords upon termination.
Reign Media reserves the right to cancel your use of these Services at any time if your conduct has been determined to violate any of the Terms of Use.
Your opt-in database will be retained for 12 months after cancellation of service as required by the Mobile Marketing Association.
Privacy
Reign Media respects your privacy.
We do not monitor or disclose your personal information or account details without your written permission unless we must do so by law.
We protect your privacy in our systems and websites that we control to the extent possible.
We may send communications of any updates, upgrades, notices or other information that we deem important for you to know, relating to our services.
Indemnity
You agree to indemnify Reign Media and will hold it and its affiliates and subsidiaries (and the parent company, owners, directors, employees and agents of each of them) harmless against any damages, losses and expenses (including reasonable attorneys’ fees and disbursements) arising out of or relating to any claims, actions or other proceedings that are brought by or on behalf of any third party, if those claims result from your acts or omissions in connection with Reign Media’s storage, conversion, transmission, or delivery of your content, or from Reign Media’s authorized use of mobile phone numbers supplied by you.
Warranty Disclaimer
Use of this Service and any reliance upon it is at your sole risk.
Reign Media does not warrant that the service will be uninterrupted or error free.
Reign Media does not make any warranty with regard to the results that may be obtained from use of the Service.
Reign Media does not warrant the security of the information which you transmit to us.
Services are provided “as is” and Reign Media disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Any material downloaded or otherwise obtained through the use of Reign Media’s Services is done at your own risk. You are solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
No advice or information, whether oral or written, obtained by you from Reign Media or through or from this Service shall create any warranty not expressly stated in the Terms of Use.
Force Majeure
Reign Media shall not be liable for any failure or delay in the performance of its obligations hereunder, which such failure or delay is caused or prevented by reason of any fire, flood, explosion, war, strikes, threatened strikes, stoppage of work, showdowns, picketing, boycotts, embargoes, failure or downtime of any telecommunications line and/or unavailability of any telecommunications facilities, power failure, requirements imposed by governmental regulations, civil or military authorities, acts of God, or other causes that are beyond the reasonable control and without the fault of negligence of Reign Media. In addition, Reign Media shall be so excused in the event it is unable to acquire from its usual sources, and on terms it deems to be reasonable, any material or service necessary for the performance of the Services.
Miscellaneous
The failure of either Reign Media or you to exercise in any respect any right in these Terms of Use will not be deemed a waiver of any further rights. If any provision of these Terms of Use is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Use will otherwise remain in full force and effect and enforceable.
No agency, partnership, joint venture, or employment is created as a result of these Terms of Use and you do not have any authority of any kind to bind Reign Media in any respect whatsoever.
In any action or proceeding to enforce rights under these Terms of Use, the prevailing party will be entitled to recover costs and attorneys’ fees.
All notices required hereunder shall be in writing and will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested. Reign Media may give notice to you by means of a general notice on the Website, electronic mail to your e-mail address on record in Reign Media’s account information, or by written communication sent by personal delivery, fax, overnight courier, or certified or registered mail to your address on record in Reign Media’s account information.
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Wisconsin notwithstanding its laws governing conflicts of laws. The parties agree that any action or proceeding brought to defend the rights or enforce the obligations of a party hereto shall be brought in the courts of the State of Wisconsin.
The Terms of Use stated herein constitute the complete agreement between the parties. No terms and conditions stated in or attached to your communications to Reign Media are applicable to these Terms of Use in any way and are not to be considered your exceptions to the provisions of these Terms of Use.

We take all reports of violation seriously and will suspend any party that violates these Terms of Use.
